Brynn Bowen - Esq.
Brynn graduated with a B.A. in Philosophy from Brigham Young University in 2001. She then went on to graduate Cum Laude with a J.D. from the J. Reuben Clark Law School at Brigham Young University in 2004. Brynn specializes in the organization, strategy and implementation of complex transactions and specialty projects for a number of clients.
She has successfully completed a number of transactions including Business Reorganizations with associated Asset Distributions, Allocations, Transfers, Recapitalizations and Reconciliations, Business and Asset Purchases, Stock Option Plans (Qualified and Non-Qualified), Stock Offerings, Phantom Stock Plans, Stock Subscriptions and Stock Redemptions, Real Estate Purchases, Development, Land-Use, Lease and other Real Property Contracts and Agreements, Gifting of Assets, including: Business Interests, Stock, Real Property and other Assets, Buy/Sell Agreements, Succession Planning, Ownership Transitions and Exit Planning, Estate Work including Estate Tax, Returns, Asset Allocations, Distributions, and Transfers, Corporate Governance, including: Conducting Annual Board and Shareholder Meetings for multi-million dollar companies; Advise on corporate protocol and regulations; Advise on Corporate Governance Disputes; Preparation of Annual Minutes, Authorizations and Specialty Resolutions, Coordination with Banks and other Institutions for Loan Modifications, Financing, Due Diligence Requirements, Opinion Letters and Compliance, Coordination of Home Office, Financial, Insurance and Banking Services, IRS Tax Negotiations and Settlements.
